VOOCALY TERMS OF SERVICE
These Terms of Service ("Terms") govern your access to and use of Voocaly ("Voocaly", "we", "us", or "our"), including our web application, APIs, AI voice synthesis, voice cloning tools, and related services.
By creating an account, accessing our workspace, starting a free trial, purchasing a subscription, or using the Service, you agree to these Terms and the policies incorporated into them: our Privacy Policy, Acceptable Use Policy, Voice Safety Policy, and Refund Policy.
If you do not agree with these Terms, do not access or use the Service.

01. Acceptance & Operator Identity
These Terms of Service ("Terms") constitute a legally binding agreement between you ("User", "you") and THE CRAFT SHOP ("we", "us", or "our"), a sole proprietorship registered under the laws of India, having its principal place of business at KH No. 70/6, VPO Malowal, Tehsil Baba Bakala, Amritsar, Punjab 143116, India. Voocaly is developed and operated by THE CRAFT SHOP and uses third-party infrastructure and service providers described in our Subprocessor Register.
By accessing or using Voocaly, you acknowledge that you have read, understood, and agree to be bound by these Terms and the incorporated policies.
02. Eligibility & Age Restriction
You must be at least 18 years of age to create an account, purchase a subscription, or use Voocaly. By using the Service, you represent and warrant that you are 18 or older and possess full legal capacity to enter into a binding contract.
Voocaly is not directed to or intended for children under 18 years of age. We do not knowingly permit minors to register or use the Service.
03. Account Security & Prohibited Brokering
You are responsible for maintaining the security and confidentiality of your login credentials and session tokens. You are fully responsible for all acts, omissions, and activities that occur under your account credentials.
Accounts, subscription seats, character credits, and concurrency allocations are non-transferable. You agree not to sell, rent, lease, sublicense, broker, or share account credentials or quota pools with external third parties. You must notify support@voocaly.com immediately if you suspect unauthorized account access or any security incident.
04. Merchant of Record & Billing Terms
Paddle as Merchant of Record: All purchases, subscription billing, payment transactions, and invoicing on Voocaly are processed and sold to you by Paddle (Paddle Payments Ltd or Paddle.com Inc.), our authorized Merchant of Record and reseller. Paddle is the legal seller of record on your invoice, receipt, and payment statement.
Your purchase is subject to Paddle Buyer Terms and Paddle Privacy Policy.
Pricing & Taxes: Prices are displayed in local currencies where supported via Paddle PricePreview. Applicable Value Added Tax (VAT), Goods & Services Tax (GST), or sales taxes are calculated and collected by Paddle at checkout based on your billing location.
Recurring Subscriptions & Renewal: Paid subscriptions automatically renew at the conclusion of each billing cycle (monthly or annually) unless canceled prior to the renewal date. You authorize Paddle to charge your designated payment method for recurring fees.
Plan Tiers & Monthly Character Quotas: Where a free trial is offered under the applicable Paddle price configuration, the applicable trial duration and billing terms are presented during checkout. Voocaly provides both free tier and paid subscription plans:
- Free Tier: 18,000 total characters/month; 2,000 max chars/generation; 1 custom clone (capped at 2,000 chars); public model visibility; 10 Luna AI requests/month.
- Starter Tier ($5.99/mo | $57.50/yr): 100,000 total characters/month (80,000 base + 20,000 bonus); 3,500 max chars/generation; 5 clones; public clone visibility; 1,000 Luna AI requests/month.
- Creator Tier ($10.99/mo | $105.50/yr): 220,000 total characters/month (180,000 base + 40,000 bonus); 5,000 max chars/generation; 7 clones; private or public visibility; priority queue; 2,500 Luna AI requests/month.
- Scale Tier ($18.99/mo | $182.30/yr): 550,000 total characters/month (480,000 base + 70,000 bonus); 5,000 max chars/generation; 10 clones; private or public visibility; dedicated queue; 4,000 Luna AI requests/month.
Character credits reset on your monthly billing date and do not roll over. If an upstream generation encounters an engine failure, unrendered characters are automatically released back to your balance via our two-phase credit reservation ledger.
Self-Service Cancellation: You can cancel your subscription at any time via the in-app Billing Portal or Account Settings. Cancellation stops the subscription from renewing for a future billing period. Unless otherwise stated at checkout or required by applicable law, your existing paid access continues until the end of the applicable prepaid billing period.
05. Intellectual Property Rights & License Grants
Customer Inputs: You retain 100% ownership, title, and copyright in all text scripts, prompts, and audio recordings you upload to Voocaly ("Customer Inputs"). You grant Voocaly a limited, non-exclusive, worldwide license to host, transcode, process, and transmit your Customer Inputs solely to the extent necessary to generate your requested synthetic speech.
Generated Audio Outputs — Paid Tiers (Starter, Creator, Scale): To the extent rights in Generated Audio are capable of being assigned or transferred to you under applicable law, Voocaly assigns to you all its rights, title, and interest in and to the synthesized audio files generated under your paid account, including commercial broadcasting, distribution, and monetization rights, subject to your ongoing compliance with these Terms and our Acceptable Use Policy.
Generated Audio Outputs — Free Tier & Guest Demos: Audio generated under Free tier accounts or guest auditions is licensed exclusively for personal, non-commercial evaluation and prototyping. Commercial broadcasting, monetization, or distribution of Free Tier outputs is strictly prohibited.
Responsibility for Generated Outputs: You are solely responsible for reviewing Generated Audio before publication or use. Voocaly does not guarantee that Generated Audio is accurate, suitable for a particular purpose, non-infringing, unique, or free from unintended similarity to another person's voice or existing content.
Voocaly Intellectual Property: The Voocaly platform, software interfaces, visual brand, logos, audio processing pipelines, code, and documentation remain the exclusive property of THE CRAFT SHOP and its licensors.
06. Public vs. Private Voice Clones
Private Voice Clones (Creator & Scale tiers): Your uploaded reference audio and the resulting custom voice profile remain strictly private to your account. Only your authenticated user session can view or synthesize speech with this voice model.
Public Voice Clones (Starter & Free tiers): When you create a Public Voice Clone, you retain ownership of your original reference recording, but voluntarily permit the resulting voice profile representation to be discoverable and usable through the public voice library by other eligible platform users. Your original reference audio file and clone editing controls remain strictly private to your account.
07. Voice Cloning & Speaker Authorization
You may only upload reference audio and create custom voice models if:
- You are the sole living speaker in the audio recording; OR
- You have obtained explicit, legally binding written authorization and release from the living speaker granting you the right to synthesize their voice on Voocaly.
You acknowledge that providing false speaker-authorization information may result in suspension or termination of your account.
Voice cloning of any deceased individual, public figure, celebrity, or politician is strictly prohibited, regardless of context or claimed authorization. Where any conflict exists between these Terms and the Voice Safety Policy, the Voice Safety Policy controls.
08. Strict AI Training Negative Covenant
Voocaly does not use customer data to train foundation models. THE CRAFT SHOP covenants that Voocaly does not use your Customer Inputs (scripts, text prompts, reference audio) or Generated Outputs to train, fine-tune, or improve Voocaly's own foundation, acoustic, or speech models.
Upstream third-party neural inference providers process submitted data according to their applicable commercial API terms and data-use policies, as described in our Subprocessor Register.
09. Copyright & Intellectual Property Notices
THE CRAFT SHOP respects intellectual property rights and responds to notices of alleged infringement.
Filing an IP / Copyright Notice: If you believe material or voice content on Voocaly infringes your copyright or trademark, send written notice to our designated agent at support@voocaly.com with the subject line "DMCA Notice" or "Legal Notice" including:
- A physical or electronic signature of the authorized copyright owner or agent;
- Identification of the copyrighted work claimed to have been infringed;
- Identification of the material or voice model claimed to be infringing and its specific location (URL or voice ID);
- Your contact information (name, address, telephone number, email);
- A statement that you have a good-faith belief that use of the material is not authorized by the copyright owner, its agent, or the law;
- A statement, under penalty of perjury, that the information in the notification is accurate and that you are authorized to act on behalf of the owner.
Where applicable, Voocaly may process notices under applicable copyright or platform liability laws, including DMCA procedures where applicable. You may submit counter-notifications to support@voocaly.com with the subject line "DMCA Notice". Voocaly maintains a policy of terminating accounts of repeat infringers.
10. Government & Law Enforcement Requests
We may disclose information where required or permitted by applicable law, including in response to valid legal process, lawful governmental requests, emergency circumstances involving serious threats to life or safety, fraud investigations, or to protect our users, systems, or legal rights.
We evaluate all requests for legal sufficiency, jurisdictional validity, and proportionality, and reject or narrow overbroad or unlawful demands where legally permitted. Emergency disclosure requests involving imminent danger of death or serious physical injury must be submitted to support@voocaly.com with the subject line "Legal Notice - Emergency Request".
11. Disclaimer of Warranties
TO THE MAXIMUM EXTENT PERMITTED BY APPLICABLE LAW:
THE SERVICE IS PROVIDED ON AN "AS IS" AND "AS AVAILABLE" BASIS. THE CRAFT SHOP DISCLAIMS ALL WARRANTIES OF ANY KIND, WHETHER EXPRESS, IMPLIED, OR STATUTORY, INCLUDING IMPLIED WARRANTIES OF MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE, AND NON-INFRINGEMENT. WE DO NOT WARRANT THAT THE SERVICE WILL OPERATE UNINTERRUPTED, SECURELY, OR ERROR-FREE.
12. Limitation of Liability
TO THE MAXIMUM EXTENT PERMITTED BY APPLICABLE LAW:
IN NO EVENT SHALL THE CRAFT SHOP, ITS OPERATOR, EMPLOYEES, OR AFFILIATES BE LIABLE FOR ANY INDIRECT, INCIDENTAL, SPECIAL, CONSEQUENTIAL, OR PUNITIVE DAMAGES, INCLUDING LOSS OF PROFITS, REVENUE, DATA, GOODWILL, OR BUSINESS OPPORTUNITY, ARISING OUT OF OR IN CONNECTION WITH YOUR USE OF THE SERVICE.
OUR TOTAL AGGREGATE LIABILITY FOR ALL CLAIMS ARISING OUT OF OR RELATING TO THESE TERMS SHALL NOT EXCEED THE GREATER OF (A) THE TOTAL FEES PAID BY YOU TO VOOCALY VIA PADDLE IN THE TWELVE (12) MONTHS PRECEDING THE CLAIM, OR (B) ONE HUNDRED UNITED STATES DOLLARS ($100 USD).
13. Indemnification
You agree to defend, indemnify, and hold harmless THE CRAFT SHOP, its operator, and service partners from and against any third-party claims, liabilities, damages, losses, and reasonable legal fees arising out of: (a) your violation of these Terms, the Acceptable Use Policy, or the Voice Safety Policy; (b) any claim that your Customer Inputs infringe or violate third-party intellectual property, publicity, or privacy rights; or (c) any unauthorized voice clone generated under your account credentials.
14. Governing Law, Jurisdiction & Consumer Rights
Governing Law: These Terms and any dispute arising out of them shall be governed by and construed in accordance with the substantive laws of the Republic of India, without regard to conflict of law principles.
Jurisdiction: Subject to mandatory consumer protection laws, the competent courts located in Amritsar, Punjab, India shall have exclusive jurisdiction over any legal proceedings arising out of these Terms.
Consumer Rights Carve-Outs: Nothing in these Terms limits or excludes any non-waivable statutory rights, guarantees, or mandatory remedies you possess as a consumer under the mandatory consumer protection laws of your jurisdiction of residence (including European Union consumer protections under Directive 2011/83/EU or UK Consumer Rights Act 2015).
15. Modifications & Controlling Language
Modifications: We may update these Terms from time to time. If we make material modifications, we will provide at least thirty (30) days' advance notice via email or a prominent banner on the platform. Continued use following the effective date constitutes acceptance.
Controlling Language: These Terms are executed in the English language. In the event of any conflict or inconsistency between the English version and any localized or translated version, the English version shall govern and prevail.
